End User License Agreement

Mac App Store users: If you downloaded Promptoire from the Mac App Store, Apple's standard Licensed Application End User License Agreement governs your use of the App. This EULA applies to direct purchases made at promptoire.app via Paddle.

1. Agreement to Terms

By downloading, installing, or using the Promptoire application ("the App"), you agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to these terms, do not download, install, or use the App.

This Agreement is between you ("User") and ELSI Holdings LLC ("Company," "we," "us," or "our"), the developer and publisher of the App.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a Mac computer you own or control, strictly in accordance with this Agreement.

You may not:

Copy, modify, distribute, sell, or lease any part of the App
Reverse engineer, decompile, or disassemble the App
Use the App for any unlawful purpose
Remove or alter any proprietary notices, labels, or marks in the App

3. Purchase, Pricing & Payment

The App is available as a one-time purchase — no subscription required.

Standard: $39.00 USD (one-time, perpetual license)
Founding Member: $29.00 USD (limited launch period)

Your purchase grants a perpetual license to use the version of the App available at the time of purchase and all subsequent updates released under the same product listing.

3.1 Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. By completing a purchase, you also agree to Paddle's terms and conditions at paddle.com/legal. ELSI Holdings LLC does not process payments directly.

3.2 Taxes

Paddle, as Merchant of Record, is responsible for collecting and remitting all applicable sales taxes, VAT, and GST in every jurisdiction. The price displayed at checkout is inclusive of any applicable taxes Paddle is required to collect.

3.3 Refunds

Refund requests must be submitted within 14 days of purchase by contacting Paddle support or emailing legal@promptoire.app. Paddle administers the refund on our behalf.

4. Intellectual Property

The App, including its source code, design, user interface, and all written content, is the intellectual property of ELSI Holdings LLC and is protected by applicable copyright and intellectual property laws.

Your Data: All prompts, versions, tags, collections, and settings you create in the App are yours. We do not claim any ownership or license to your content.

5. Data Privacy

5.1 Local Storage Only

All app data is stored exclusively on your Mac using on-device storage (SwiftData/SQLite). We do not operate servers that store your data.

5.2 No Data Collection

No user accounts or registration required
No analytics or tracking SDKs
No third-party data sharing
No advertising or ad tracking
Zero network calls during normal use

5.3 Privacy Policy

A complete Privacy Policy is available at promptoire.app/privacy. The Privacy Policy is incorporated into this Agreement by reference.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory.
In no event shall ELSI Holdings LLC, its owners, officers, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.
Our total aggregate liability to you shall not exceed the amount you paid for the App.

7. Indemnification

You agree to indemnify and hold harmless ELSI Holdings LLC, its owners, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use or misuse of the App or your violation of this Agreement.

8. Termination

We may terminate or suspend your license at any time, without notice, for conduct that violates this Agreement. Your data remains on your device and is not affected by termination.

9. Changes to This Agreement

We reserve the right to modify this Agreement at any time. Changes will be posted at promptoire.app/eula. Continued use of the App after changes are posted constitutes acceptance.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Williamson County, Texas, under the rules of the American Arbitration Association (AAA).
